Professional Pulse Magazine Disclosure and Consent Agreement
This Disclosure and Consent Agreement (“Agreement”) is entered into by and between [Client's Full Name] (“Client”) and Professional Pulse Magazine (“Magazine”), a publication owned by Professional Pulse, INC. This Agreement is effective as of the date of the Client's signature.
1. Grant of Rights
The Client hereby grants Professional Pulse Magazine the irrevocable, non-exclusive right and permission to use, reproduce, edit, publish, distribute, and display:
Photographs of the Client
Advertisements provided by the Client
Interviews and any related content or statements made by the Client
Any other content provided or made accessible by the Client for the purpose of publication, promotion, distribution, and display in connection with Professional Pulse Magazine, including but not limited to print, online, and social media platforms.
2. Scope of Use
The Client understands that the content may be used in various forms of media, including but not limited to:
Print issues of Professional Pulse Magazine
Digital editions of Professional Pulse Magazine
Social media posts associated with the Magazine
Promotional materials and advertisements for the Magazine
Website content related to Professional Pulse Magazine
3. Editorial Rights
Professional Pulse Magazine reserves the right to edit, adapt, and modify the content as necessary for formatting, clarity, or other editorial purposes. The Magazine will make reasonable efforts to ensure that the content remains true to its original meaning and context.
4. Compensation
The Client agrees that no compensation, royalty, or fee will be provided for the use of the content as described in this Agreement. The Client acknowledges that the use of their content is entirely voluntary.
5. Representation and Warranties
The Client represents and warrants that:
They are the rightful owner of the content or have obtained all necessary rights, permissions, and releases from any third parties to grant the rights herein.
The content does not infringe upon any copyright, trademark, privacy rights, or other rights of any third party.
The content does not contain any unlawful material.
6. Indemnification
The Client agrees to indemnify, defend, and hold harmless Professional Pulse Magazine and its affiliates, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to the breach of any representation, warranty, or obligation under this Agreement.
7. Termination
Either party may terminate this Agreement at any time by providing written notice to the other party. However, termination will not affect any rights granted by the Client prior to the date of termination for content that has already been published or is in the process of being published.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes any and all prior agreements, representations, and understandings, whether written or oral.
10. Acceptance and Acknowledgment
By signing below, the Client acknowledges that they have read and understood the terms of this Agreement and voluntarily agree to be bound by them.
